By installing, accessing, or using the OpenReply Chrome extension and related services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

OpenReply is operated by OpenReply ("we," "us," or "our"). We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

OpenReply is a Chrome extension that provides AI-powered email reply suggestions for Gmail. The Service:

• Analyzes email thread content to generate contextual reply suggestions
• Integrates with Gmail to provide in-context AI assistance
• Uses third-party AI models via our OpenReply API to generate responses
• Operates on a credit-based billing system

3. Account Registration

To use OpenReply, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities under your account

You must be at least 13 years old to use this Service. By creating an account, you represent that you meet this age requirement.

4. Acceptable Use

You agree NOT to use OpenReply to:

• Generate spam, phishing, or fraudulent content
• Harass, abuse, or threaten others
• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Attempt to reverse engineer, decompile, or hack the Service
• Circumvent usage limits or billing systems
• Generate content that promotes violence, discrimination, or illegal activities
• Impersonate others or misrepresent your identity

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

5. Billing and Payments

5.1 Credit System

OpenReply operates on a credit-based system. Credits are used each time you generate an AI reply, with costs varying by AI model selected.

5.2 Purchases

All credit purchases are processed through Stripe. By making a purchase, you agree to Stripe's terms of service. Prices are displayed in USD unless otherwise specified.

5.3 Refunds

Credit purchases are generally non-refundable. However, we may issue refunds at our discretion for:

• Technical issues preventing service use
• Accidental duplicate purchases
• Other circumstances we deem appropriate

To request a refund, contact us at support@openreply.ai within 14 days of purchase.

5.4 Auto Top-Up

If you enable auto top-up, your saved payment method will be automatically charged when your credit balance falls below the threshold. You can disable auto top-up at any time from your account settings.

6. Intellectual Property

6.1 Our Property

The OpenReply extension, website, brand, logos, and all related materials are owned by OpenReply and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

6.2 Your Content

You retain ownership of your email content. By using OpenReply, you grant us a limited license to process your email content solely for the purpose of generating AI replies. This content is processed in real-time and is not stored.

6.3 AI-Generated Content

AI-generated replies are provided as suggestions. You are responsible for reviewing, editing, and sending any content. You own the final emails you send.

7. Privacy and Data

Your use of OpenReply is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Third-Party Services

OpenReply integrates with third-party services including:

• Google/Gmail — For email access and Google Sign-In
• AI Model Providers — For AI model access (OpenAI, Anthropic, Google, etc.)
• Stripe — For payment processing

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party service availability or practices.

9. Disclaimers

• The Service will be uninterrupted or error-free
• AI-generated content will be accurate, appropriate, or suitable for any purpose
• The Service will meet your specific requirements
• Any errors will be corrected

You are solely responsible for reviewing and editing AI-generated content before sending. OpenReply is not liable for any consequences of emails you send.

10. Limitation of Liability

To the maximum extent permitted by law, OpenReply and its affiliates, officers, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Damages arising from your use or inability to use the Service
• Content generated by AI models
• Actions of third-party services

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless OpenReply and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Content you generate or send using the Service
• Your violation of any third-party rights

12. Termination

You may stop using OpenReply at any time by uninstalling the extension and deleting your account. We may suspend or terminate your access if you violate these Terms or for any other reason at our discretion.

Upon termination, your right to use the Service ceases immediately. Unused credits are non-refundable upon termination for Terms violations.

13. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes by posting a notice on our website or through the extension. Your continued use after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes shall be resolved through binding arbitration or in courts of competent jurisdiction.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
